Welcome to Harry HR! These Terms of Service (“Terms”) set out the rules for using our platform, website, and services. By accessing or using Harry HR, you agree to these Terms on behalf of yourself and, if applicable, your organization. Please read them carefully.

Who We Are

Harry HR B.V. is part of ITéaal Beheer B.V. and based in the Netherlands. We offer a modular Employee Experience Platform that helps organizations improve engagement, communication, learning, and HR processes.

Definitions

  • User: Anyone authorized to use the Harry HR Platform, including employees, managers, and administrators.

  • Customer: The organization subscribing to Harry HR’s services.

  • Customer Data: All content and information submitted to Harry HR by the Customer or its Users, including personal information.

  • Platform: The Harry HR platform and related services.

  • Personal Information: Any data relating to an identified or identifiable person, as defined by privacy laws.

  • Privacy Policy: Our Privacy Policy explains how we handle your data (see Privacy Policy).

Access and Use

  • Eligibility: You must be at least 16 years old and authorized by your organization to use the platform.

  • Account Security: Keep your login details safe. You are responsible for all activity under your account.

  • Acceptable Use: Do not misuse the platform. This includes:

    • No unauthorized access or attempts to disrupt the platform.

    • No sharing of non-public features or content.

    • No reverse engineering, copying, or creating competing services.

    • No introduction of malware or harmful code.

    • No collection or processing of sensitive personal information (such as race, religion, or health data).

    • No harassment, discrimination, or offensive behavior.

  • Service Changes: We may update or modify the platform and services at any time. We will notify you of significant changes that affect your use.

Subscriptions and Fees

  • Service Fees: Fees are based on your subscription plan and number of active users. Payment terms are specified at purchase and on invoices.

  • Renewal: Subscriptions renew automatically unless canceled before the renewal date. 

  • Changes to Users: You can add users at any time. Fees adjust accordingly.

  • No Refunds: Payments are non-refundable except as required by law or as specifically stated in these Terms.

  • Overdue Payments: We may suspend access if payments are overdue.

  • Free Trials: Free trials are available for a limited period. At the end of the trial, you must subscribe to continue using the platform.

  • Taxes: Fees do not include taxes, which are your responsibility unless otherwise stated.

Data and Privacy

  • Data Ownership: You retain ownership of your Customer Data. You grant Harry HR a license to use your data as needed to provide and improve the service.

  • Data Security: We use strong security measures to protect your data. However, no online service is completely risk-free.

  • Anonymity: Feedback and surveys are anonymous unless the user chooses otherwise.

  • Personal Information: We process personal data in accordance with our Privacy Policy and applicable laws, including GDPR.

  • Confidentiality: Both parties agree to keep each other’s confidential information secure and not disclose it to unauthorized parties.

  • Data Processing: Additional terms may apply under the Data Processing Addendum for GDPR compliance.

Intellectual Property

  • Ownership: Harry HR retains all rights to the platform, software, and content (except Customer Data).

  • Feedback: Any feedback or suggestions you provide may be used by Harry HR to improve the platform, without obligation or compensation.

Warranties and Disclaimers

  • Service Availability:
    Harry HR delivers its platform in accordance with the agreed Service Level Agreement (SLA) and aims for a minimum uptime of 98%. We provide real-time updates about platform status and scheduled maintenance via our public status page (Status Page). While we strive for optimal availability, temporary interruptions may occur due to maintenance or unforeseen circumstances.

    No Warranty:
    The platform is provided “as is” and “as available.” We do not guarantee that the platform will be uninterrupted, error-free, or meet your specific requirements. All use of the platform is at your own risk.

    Third-Party Content:
    Harry HR is not responsible for content created by third parties or for the accuracy, integrity, or quality of Customer Data. Users and Customers are solely responsible for evaluating and managing any information or content they submit or access through the platform.

Limitation of Liability

  • Liability Cap: Except in cases of gross negligence or willful misconduct, our total liability is limited to the amount you paid in the 12 months before the claim.

  • No Indirect Damages: Harry HR is not liable for indirect, incidental, or consequential damages, including lost profits or data, except where prohibited by law.

Indemnification

  • By Customer: You agree to defend and indemnify Harry HR against claims related to your use of the platform, your data, or breaches of these Terms.

  • By Harry HR: We will defend and indemnify you against third-party claims that the platform infringes intellectual property rights, except for claims arising from your data or misuse.

Term and Termination

  • Term: These Terms remain in effect as long as you use the platform or have an active subscription.

  • Termination by Customer: You may cancel your subscription at any time through your account or by contacting us.

  • Termination by Harry HR: We may terminate or suspend your access for material breaches or overdue payments. In some cases, we may terminate for convenience with notice.

  • Effect of Termination: Upon termination, your access ends. Certain obligations, such as confidentiality and data protection, continue to apply. No refunds are given except as required by law or as specifically stated in these Terms.

  • Harry HR reserves the right to immediately suspend or terminate access to the platform – without prior notice and without refund – if:

    1. Continued service would violate applicable laws, regulations, or international sanctions (e.g., EU/US/UN sanctions regimes);

    2. The Customer or its affiliated entities are subject to sanctions, embargoes, or other legal restrictions;

    3. Geopolitical developments (e.g., armed conflicts, trade restrictions) materially impact our ability to provide services securely or lawfully.

    This includes, but is not limited to, scenarios where:

    • The Customer is headquartered in, or operates within, a sanctioned jurisdiction (e.g., Russia following the 2022 invasion of Ukraine);

    • The Customer’s activities are linked to entities undermining international peace/security.

General Provisions

  • Marketing Reference: We may use your company name and logo as a reference unless you request otherwise.

  • Governing Law: These Terms are governed by Dutch law. Disputes are handled in Zuid-Holland, the Netherlands.

  • Changes to Terms: We may update these Terms as our services evolve. The latest version is always available on our website. Continued use after changes means you accept the new Terms.

  • Notices: We will send important notices to your registered email. You can contact us via our Contact Page.

  • Assignment: These Terms apply to both parties and their successors.

  • Relationship: The parties are independent contractors; these Terms do not create a partnership or employment relationship.

  • Severability: If any part of these Terms is found invalid, the rest remains in effect.

Compliance with Laws
Both parties agree to comply with all applicable laws, including Dutch and EU export controls, anti-money laundering regulations, and sanctions regimes (e.g., EU Regulation 833/2014 concerning Russia/Ukraine). Harry HR may conduct ongoing compliance screenings and will terminate access immediately if risks are identified.

Force Majeure
Harry HR is not liable for service interruptions caused by events beyond our reasonable control, including armed conflicts, sanctions, trade restrictions, or government actions impacting digital infrastructure.
